Zesday — Restaurant Partner Agreement
Version: 2.0 · Effective date: 16 September 2026
This Agreement is between Qubrix Technode Private Limited, registered office Runway Studio Suites, 109, Gaur Yamuna City, YEIDA, Nawada, Gautam Buddha Nagar - 203201, Uttar Pradesh (GSTIN 09AABCQ2600E1ZX), which operates the Zesday platform ("Zesday", "we", "us"), and the restaurant, cloud kitchen, tiffin service, bakery or other food business that onboards to Zesday ("Partner", "you").
By completing onboarding and accepting orders, you agree to this Agreement and to our Payment Terms & Settlement Policy, Tax Treatment & Compliance Disclosure, Restaurant Listing, Menu & Food-Safety Standards, Privacy Policy and Grievance Redressal Policy.
1. Relationship
1.1 You are an independent food business and the seller of the food. Zesday is an e-commerce operator that lists your menu, takes customer orders and payments, arranges delivery and settles your earnings.
1.2 Zesday collects customer payments for your orders as your limited agent for that purpose only. Nothing in this Agreement creates a partnership, joint venture or employment relationship.
1.3 You prepare the food and are responsible for its quality, safety, labelling and legality.
2. Onboarding and licences
2.1 You must give us, and keep current: a valid FSSAI licence or registration for each outlet; your GST registration (or a declaration that you are not registered); PAN; a bank account; the outlet address; and an accurate menu with prices, descriptions, veg/non-veg marks and allergen information.
2.2 You must comply with the Food Safety and Standards Act, 2006 and its regulations, including hygiene, packaging and labelling rules and FSSAI's requirements for food sold online (for packaged items, the minimum remaining shelf life at delivery).
2.3 We may pause your listing if a licence expires, a document cannot be verified, or there is a serious food-safety concern.
2.4 You must not make misleading claims about your food, offers or prices (Consumer Protection Act, 2019).
3. Orders
3.1 Accept or decline orders promptly and fulfil every order you accept. Online orders reach you already paid; cash-on-delivery orders are paid to the delivery partner at the door.
3.2 Keep preparation times realistic and mark items out of stock, rather than cancelling orders you have accepted.
3.3 Do not substitute any item without the customer's consent.
3.4 Hand correctly packed, sealed orders only to the assigned delivery partner, and check the pickup code where the app asks for it.
4. Commission and fees
4.1 Zesday charges a commission on each order. The rate depends on delivery distance, according to the tier schedule shared with you at onboarding. The tier that applies is fixed when the order is placed and shown on your statement.
4.2 Commission is calculated on the food value of the order and, where your onboarding schedule says so, on packaging or handling charges.
4.3 GST at 18% is charged on the commission and on any other fee we charge you. We issue a tax invoice showing our GSTIN and yours, so you can claim input tax credit.
4.4 Optional paid services — such as sponsored placement or advertising — are opt-in, priced before you agree, and invoiced separately.
4.5 We make no undisclosed deductions. Every deduction appears on your statement with its reason.
5. Taxes
The Tax Treatment & Compliance Disclosure explains each item in more detail.
5.1 GST on food (Section 9(5), CGST Act). For orders placed through Zesday, Zesday pays GST at 5% on the food to the government as the e-commerce operator. You do not charge or pay GST on those orders, and you report them in your GST returns as supplies made through an e-commerce operator. You must not also collect GST on the same food from the customer.
5.2 Specified premises. If your outlet is located in "specified premises" as defined under GST law (broadly, a hotel whose room tariff is above the notified limit), you must tell us. In that case you charge and pay GST on the food yourself.
5.3 GST on commission is charged as in clause 4.3 and can be claimed as input tax credit.
5.4 Income-tax deduction (TDS). Under section 393 of the Income-tax Act, 2025 (which replaced section 194-O of the Income-tax Act, 1961), we deduct income tax at 0% on the gross amount of your sales through Zesday and deposit it against your PAN.
- No deduction is made if you are an individual or HUF whose gross sales through Zesday in the
financial year do not exceed ₹5,00,000 and you have given us your PAN or Aadhaar.
- If you have not given us your PAN or Aadhaar, the deduction is 0%.
- If you hold a lower-deduction certificate from the Income Tax Department, share it and we will
apply the lower rate.
- We give you a TDS certificate for each quarter so you can claim the credit in your return.
5.5 GST TCS under Section 52 of the CGST Act does not apply to food supplied under Section 9(5). If you ever sell anything through Zesday that is not covered by Section 9(5), TCS at 0% applies to it and is shown on your statement.
5.6 You are responsible for your own GST and income-tax registration and returns, and for the accuracy of the tax details you give us. You indemnify us against tax, interest or penalty that results from incorrect details you provide.
6. Settlement and payouts
6.1 Your net payout is your gross sales, minus commission and the GST on it, TDS, any TCS, refunds or adjustments attributable to you, and any share of discounts you agreed to fund.
6.2 Payouts are made on this cycle: Weekly. Each payout is released 1 day(s) after its settlement period closes, by bank transfer through our payment partners (PayU or Razorpay) to your verified bank account.
6.3 The partner app shows your upcoming payout, and every payout comes with a statement itemising each order and each deduction.
6.4 For cash-on-delivery orders, the cash the delivery partner collects for your food is reconciled into your settlement, as set out in the Payment Terms & Settlement Policy.
6.5 We never change past entries silently. Corrections are made as new, logged entries and shown on your next statement.
7. Your bank account
7.1 You can change your payout bank account in the partner app under Settings → Bank account. For your protection, every change needs a one-time code sent to your registered mobile number, and we notify you when the account is changed.
7.2 A new or changed account is verified with our payment partner before any payout is sent to it. Payouts that fall due while verification is pending are held and released once the account is verified — they are not lost.
7.3 You are responsible for the accuracy of the account details you enter. If a payout is sent to an account you entered incorrectly, we will help trace it but are not otherwise liable for it.
8. Refunds, cancellations and quality issues
8.1 Where a refund or cancellation is caused by you — for example a wrong or missing item, a quality problem, excessive delay, or cancelling an order you accepted — the refund may be recovered from your settlement and is shown on your statement.
8.2 Where it is caused by the customer, the delivery partner or Zesday, funding follows the Refund & Cancellation Policy.
8.3 Repeated quality or food-safety failures may lead to suspension.
9. Food safety
You will maintain FSSAI compliance and hygiene; use correct, tamper-evident packaging; give accurate allergen and veg/non-veg information; not sell prohibited items; and cooperate with any food-safety complaint, recall or inspection. You are solely responsible for food-safety violations at your premises.
10. Data and confidentiality
10.1 Customer details shared with you (such as a name and order notes) may be used only to fulfil that order — never for marketing, resale or contacting the customer for any other purpose. You will keep them secure, delete them when no longer needed, and tell us promptly about any misuse or breach.
10.2 Commission rates, tier schedules and non-public platform information are confidential.
10.3 We handle your own personal data as described in our Privacy Policy.
11. Grievances and disputes
Raise billing, settlement or operational disputes in the partner app or by email to support@zesday.com. They are handled under our Grievance Redressal Policy.
12. Indemnity and liability
12.1 You indemnify Zesday against claims arising from your food, your licences, your tax declarations, intellectual property in your menu or branding, or your breach of this Agreement.
12.2 Subject to law, neither party is liable for indirect or consequential loss. Our total monetary liability to you in any month is limited to the commission we earned from you in that month.
13. Term, suspension and termination
13.1 This Agreement continues until either party ends it.
13.2 Either party may terminate on 30 days' notice. We may suspend or terminate immediately for fraud, a lapsed licence or a serious food-safety breach, and will tell you why.
13.3 On termination we pay all undisputed amounts due to you, after set-off and tax deductions.
14. Changes
We may update this Agreement. We will notify you in the partner app before a material change takes effect. If you do not agree, you may terminate under clause 13; continuing to accept orders after the change takes effect means you accept it.
15. Governing law
This Agreement is governed by the laws of India. The courts at Gautam Buddha Nagar, Uttar Pradesh have jurisdiction.
