Zesday — Payment Terms & Settlement Policy

Applies to Customers, Restaurants and Delivery Partners. Capitalised terms follow the other Zesday policies. In case of conflict on tax, 05-gst-tax-compliance-policy.md prevails.

1. Payment methods (customer)

1.1 Customers may pay via methods offered in-app — UPI, cards, net-banking, wallets, Zesday Wallet, and cash on delivery (COD) where available. 1.2 All non-cash payments are processed by our RBI-licensed payment aggregator Razorpay. Zesday does not store full card numbers/CVV; sensitive card data is handled by the aggregator per PCI-DSS and RBI tokenisation rules. 1.3 Funds flow through the aggregator's escrow/nodal mechanism; Zesday does not pool customer funds outside the permitted flow. 1.4 You authorise Zesday (via the aggregator) to collect the total shown at checkout — nothing more.

2. What the customer pays

The customer pays only the itemised total disclosed before payment: food value + restaurant packaging/handling (if any) + food GST + delivery fee + platform fee + 18% GST on delivery + platform fee + surge/rain fee (if applicable) − discounts + optional tip. A tax invoice is issued per order. No post-checkout charges without consent.

3. Zesday Wallet

3.1 The Wallet is a stored-value convenience for paying on Zesday, funded by refunds, cashbacks, referral bonuses, restaurant-loyalty rewards, and top-ups (via Razorpay). 3.2 Wallet value is not a deposit, not interest-bearing, not transferable between users, and not withdrawable to cash except where required by law or these terms. 3.3 Top-ups are verified against the aggregator's authoritative payment record (signature + order verification) before crediting. 3.4 Wallet credits from promotions may carry expiry/conditions, disclosed when granted. 3.5 We may freeze Wallet value on suspected fraud pending review. 3.6 The Wallet is not a Prepaid Payment Instrument (PPI) issued to the public and is limited to in-platform use; if scope ever changes, RBI PPI rules will be assessed first.

4. Restaurant settlement

4.1 Zesday collects order payments as the restaurant's limited payment-collection agent and remits net payout = gross sales − commission − commission GST (18%) − section 393 TDS − TCS (if any) − attributable refunds/adjustments − agreed funded-discount share. 4.2 Cycle: [[SETTLE_CYCLE]] (e.g., weekly, T+[[SETTLE_LAG_DAYS]]), to the restaurant's registered bank account. 4.3 A statement itemises every component. 4.4 COD: cash collected by the rider for the food is reconciled into settlement; the restaurant's net reflects COD collections minus platform dues. 4.5 Set-off: we may set off amounts you owe us (e.g., funded refunds, chargebacks) against payouts, always itemised. 4.6 Tax treatment per 05-gst-tax-compliance-policy.md.

5. Delivery-partner payouts

5.1 Rider earnings (delivery components + incentives + 100% tips) are paid on cycle [[RIDER_PAYOUT_CYCLE]] to the rider's bank account. 5.2 COD cash collected by the rider is held in trust and deposited/settled as shown in-app; unremitted COD may be set off against earnings. 5.3 Any TDS (§5 of 03-delivery-partner-agreement.md) is withheld and certified. 5.4 Penalties/adjustments are itemised with reasons and disputable.

6. Refunds

6.1 Eligible refunds (per 07-refund-cancellation-policy.md) are returned to the original payment method or, at the customer's option/where applicable, Zesday Wallet. 6.2 Timelines: Wallet refunds are typically instant; original-method refunds typically complete within [[REFUND_DAYS]] (e.g., 5–7) business days, subject to the bank/aggregator. 6.3 The party at fault (restaurant/rider/platform) funds the refund, disclosed on the relevant statement — never silently absorbed by another party.

7. Chargebacks & fraud

7.1 We cooperate with the aggregator on chargeback and dispute processes; genuine chargebacks are honoured, and fraudulent claims may lead to account action. 7.2 We use fraud controls (velocity, device, refund-abuse checks); confirmed abuse may forfeit promotional credits and lead to suspension.

8. Taxes on charges

GST/TDS/TCS on every charge and payout are governed by 05-gst-tax-compliance-policy.md and disclosed on invoices/statements. Nothing is deducted without appearing on a statement.

9. Errors & reconciliation

We reconcile collections, payouts and taxes continuously; every order posts immutable ledger entries that must balance. Genuine errors are corrected via new logged entries (never silent edits), and communicated.

10. Changes

We may change cycles/fees prospectively with notice; existing orders keep the terms frozen at placement.
