Zesday — Delivery Partner Agreement

Version: 2.0 · Effective date: 16 September 2026

This Agreement is between Qubrix Technode Private Limited, registered office Runway Studio Suites, 109, Gaur Yamuna City, YEIDA, Nawada, Gautam Buddha Nagar - 203201, Uttar Pradesh, which operates Zesday ("Zesday", "we", "us"), and the individual who registers to deliver orders ("Delivery Partner", "you"). By completing onboarding and going online, you agree to this Agreement, our Payment Terms & Settlement Policy, Privacy Policy and Grievance Redressal Policy.

1. Independent relationship

1.1 You are an independent contractor providing delivery services task by task, on a non-exclusive basis. This Agreement does not make you an employee, and you are free to work for others, including other platforms.

1.2 You decide when to go online and which delivery offers to accept, subject to the reliability rules shown in the app.

1.3 You are a platform worker under the Code on Social Security, 2020. Where that Code and the schemes made under it require, Zesday will register as an aggregator, pay the contributions required, and give you the information you need to register for social-security benefits (for example on the e-Shram portal).

1.4 You use your own vehicle and phone and bear their running costs, unless the app expressly says otherwise.

2. Eligibility

2.1 You must be at least 18, legally allowed to work in India, and — where your vehicle requires them — hold a valid driving licence, vehicle registration and third-party insurance.

2.2 You must provide your PAN, a bank account in your own name and the identity documents the app asks for, and keep them current.

2.3 You must be fit to ride, follow traffic laws and wear a helmet where required.

3. Doing deliveries

3.1 When online you receive delivery offers. You may accept or pass, but frequent cancellations after accepting affect your reliability score and how offers are given, as explained in the app.

3.2 At pickup, check that you have the right order, confirm the pickup code where the app asks for it, and keep the food sealed, upright and protected from heat, rain and contamination.

3.3 At hand-over, for cash-on-delivery orders and online orders of ₹500 or more, the app asks you to enter the customer's 4-digit delivery code before you can mark the order delivered. Mark an order delivered only when you have handed it to the customer or followed their delivery instructions.

3.4 Behave professionally and ride safely. Never open, tamper with or consume an order, and never pass a delivery to someone else.

4. Earnings

4.1 Your earnings are made up of the delivery fee for each trip, any distance, surge or rain component, incentives you qualify for, and 100% of customer tips.

4.2 The app shows the earnings for each trip — before you accept where possible, and always after completion.

4.3 We never reduce earnings silently. Any adjustment or penalty (for example for an undelivered or fraudulent order) is shown on your statement with its reason, and you can dispute it.

4.4 Incentive schemes are described in the app with their conditions and qualifying period. We may change them for the future, with notice in the app.

5. Payouts, cash and taxes

5.1 Payouts are made on this cycle: Weekly, by bank transfer through our payment partners (PayU or Razorpay) to your verified bank account. The app shows your next payout date and amount.

5.2 Cash on delivery. Cash you collect for an order belongs to Zesday and the restaurant and is held by you in trust. It is set off against your earnings at each settlement. Any balance you still owe is shown in the app under Cash to deposit and must be paid to Zesday as we instruct.

5.3 Income tax. If the Income-tax Act, 2025 requires tax to be deducted from your payouts, we deduct it at the rate the law sets (a higher rate can apply if you have not given your PAN), show it on your statement, deposit it against your PAN and give you a TDS certificate so you can claim the credit in your return. No tax is deducted while your payments stay below the legal threshold.

5.4 GST. If your annual turnover is below the GST registration threshold (currently ₹20 lakh for services in most states) you generally do not need to register, and no GST applies to your service. If you are GST-registered, you may charge GST to us on a proper tax invoice. You are responsible for your own tax filings.

5.5 You indemnify us against tax consequences of incorrect PAN or GST details you provide.

6. Your bank account

6.1 You can change your payout bank account in the app under Profile → Payout method. Every change needs a one-time code sent to your registered mobile number, and we notify you when the account is changed.

6.2 A new or changed account is verified with our payment partner before any payout is sent to it. Payouts that fall due while verification is pending are held and released once the account is verified.

6.3 You are responsible for the accuracy of the account details you enter.

7. Insurance and safety

7.1 You are responsible for valid third-party vehicle insurance and safe riding.

7.2 Where we offer accident or in-trip insurance cover, its terms and limits are set by the insurer and shown in the app.

7.3 Report accidents and safety incidents immediately through the app's support or emergency option.

7.4 Do not use the app while riding in a way that breaks traffic law.

8. Shifts and slots

8.1 The app may let you book delivery slots and, where enabled, require you to check in to a booked slot to go on duty. Booking a slot is a commitment to be available; repeated no-shows can lower your slot priority, as explained in the app.

8.2 Using slots or shifts does not make you an employee.

9. Conduct, suspension and termination

9.1 We may suspend or end your access for fraud, theft or tampering with orders, harassment or unsafe behaviour, faking your GPS location, failing to deposit cash-on-delivery money, or repeated serious breaches.

9.2 You may stop delivering at any time, but you remain responsible for any cash you hold and any other amounts you owe.

9.3 Either party may end this Agreement on notice. We may suspend you immediately for safety or fraud reasons. We will tell you the reason, and you can appeal through the grievance process.

10. Data and privacy

10.1 We process your data — identity and vehicle documents, bank details, location while on duty, and delivery performance — as described in our Privacy Policy, to run dispatch, payouts and safety.

10.2 Your live location is collected only while you are on duty, with a visible notification on your phone, and is used for offering orders, tracking and safety.

10.3 Customer details (name, address, phone contact) may be used only to complete that delivery. Do not keep them, share them, or contact a customer after the delivery is complete.

11. Grievances

Raise payout, penalty or account issues in the app or by email to support@zesday.com. They are handled under our Grievance Redressal Policy.

12. Indemnity and liability

12.1 You indemnify us against claims arising from your negligence, traffic-law violations, tampering with orders or misuse of customer data.

12.2 Subject to law, our total monetary liability to you in any month is limited to the earnings payable to you for that month.

13. Changes

We may update this Agreement. We will notify you in the app before a material change takes effect, and ask you to accept it before your next time on duty.

14. Governing law

This Agreement is governed by the laws of India. The courts at Gautam Buddha Nagar, Uttar Pradesh have jurisdiction.

Version 2. Operated by QUBRIX TECHNODE PRIVATE LIMITED.
